Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Producer," or "Consumer") and InsureGrades, LLC ("InsureGrades," "we," "us," or "our"). By accessing or using insuregrades.com and any related services (collectively, the "Service"), you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or a prominent notice on the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms.

2. Description of Service

InsureGrades provides a software-as-a-service platform that enables licensed insurance producers to: (a) verify their professional licenses through the National Insurance Producer Registry ("NIPR") Producer Database ("PDB"); (b) track continuing education ("CE") requirements; (c) manage professional reputation through verified consumer reviews; (d) display a verified badge on external websites; and (e) receive consumer quote requests (Elite plan only).

InsureGrades is a technology platform only. We are not an insurance company, insurance agency, regulatory authority, or legal advisor. Nothing on the Service constitutes legal, compliance, insurance, or professional advice. License verification results reflect data provided by NIPR at the time of the query and are not a guarantee of current licensure status.

3. Eligibility

To register as a Producer, you must: (a) be at least 18 years of age; (b) hold or be actively applying for a valid insurance producer license in at least one U.S. state or territory; (c) provide accurate, complete, and current information during registration; and (d) comply with all applicable federal, state, and local laws and regulations.

By registering as a Producer, you represent and warrant that all information you provide — including your National Producer Number ("NPN"), name, states of licensure, and contact information — is true, accurate, and complete. Providing false or misleading information is a material breach of these Terms and may be reported to relevant state insurance regulatory authorities.

4. NIPR Data Access and FCRA Compliance

InsureGrades accesses the NIPR Producer Database on your behalf to retrieve your license status and related information. By initiating a license verification, you expressly authorize InsureGrades to access NIPR data pertaining to you, consistent with your written instructions as the consumer to whom the information relates, pursuant to 15 U.S.C. § 1681b(a)(2) of the Fair Credit Reporting Act ("FCRA").

InsureGrades does not use NIPR PDB data for employment screening, tenant screening, credit evaluation, or any other purpose that would constitute a "consumer report" under the FCRA outside of the permissible purpose described above. NIPR data is used solely to verify and display your own professional license status at your request.

You acknowledge that NIPR data is sourced from state insurance department records and that InsureGrades has no control over the accuracy or completeness of that underlying data. If you believe NIPR records contain an error, you must contact your state insurance department or NIPR directly at nipr.com to initiate a correction.

5. Subscriptions, Billing, and Cancellation

Access to Producer features requires a paid monthly subscription at the tier you select (Starter, Professional, or Elite). Subscriptions are billed on a recurring monthly basis via Stripe. By subscribing, you authorize InsureGrades to charge your payment method on file each month until you cancel.

No refunds. All subscription fees are non-refundable. Cancellation takes effect at the end of the current billing period, after which your account will be downgraded and your verified badge will be deactivated. Partial-month refunds are not provided under any circumstances.

InsureGrades reserves the right to modify subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

If a payment fails, we will attempt to retry the charge and notify you by email. Accounts with outstanding balances may be suspended until payment is resolved. InsureGrades is not liable for any loss of data, access, or service resulting from payment failure.

6. Reviews and User-Generated Content

Consumers may submit reviews of insurance producers on the Service. By submitting a review, you represent that: (a) the review is based on your genuine, first-hand experience with the producer; (b) all statements are truthful and accurate to the best of your knowledge; (c) the review does not contain false, defamatory, harassing, or misleading statements; and (d) you are not the producer being reviewed, an employee or agent of that producer, or a competitor.

InsureGrades reserves the right — but not the obligation — to review, moderate, remove, or refuse to publish any user-generated content at our sole discretion, including reviews that violate these Terms or that we believe in good faith to be false or harmful. Moderation decisions are final.

By submitting content to the Service, you grant InsureGrades a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, display, and distribute that content in connection with operating and promoting the Service.

Producers who receive fraudulent, defamatory, or retaliatory reviews may submit a dispute request to support@insuregrades.com. InsureGrades will investigate in good faith but cannot guarantee removal of any particular review.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation;
• Submit false, fraudulent, or misleading information, including false license credentials or fake reviews;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, systems, or networks;
• Scrape, crawl, or use automated means to access or collect data from the Service without our express written consent;
• Transmit any viruses, malware, or harmful code;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service to solicit, harvest, or collect contact information of other users without their consent;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Use the Service in any manner that could damage our reputation or that of NIPR.

8. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content created by InsureGrades, is owned by InsureGrades and protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use InsureGrades' trademarks, logos, or brand elements without our prior written consent.

The InsureGrades verified badge is licensed to you, not sold, for display on your own professional materials only for as long as your subscription is active and your license remains verified. This license terminates immediately upon account cancellation, suspension, or verification lapse.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

InsureGrades does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) NIPR data retrieved through the Service is accurate, complete, or current; (c) the Service will meet your specific requirements; or (d) any errors or defects will be corrected. Use of the Service is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSUREGRADES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall InsureGrades' total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the total subscription fees paid by you to InsureGrades in the 12 months immediately preceding the claim or (b) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless InsureGrades and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you submit to the Service; or (e) any dispute between you and another user.

12. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in the county where you reside or, at your option, by telephone or video conference.

Class Action Waiver: You and InsureGrades each agree that any proceedings to resolve disputes will be conducted solely on an individual basis. Neither party may bring claims as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Before initiating arbitration, the parties agree to first attempt to resolve any dispute informally by contacting legal@insuregrades.com and providing a written description of the dispute. The parties will attempt to resolve the dispute within 30 days. Either party may seek emergency injunctive or other equitable relief in court to prevent irreparable harm while arbitration proceeds.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that any claim must be brought in court rather than arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

14. Termination

InsureGrades reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms, fraudulent activity, or non-payment. Upon termination, your right to use the Service immediately ceases.

You may terminate your account at any time by cancelling your subscription and contacting support@insuregrades.com. Termination does not entitle you to a refund of any prepaid fees.

Sections 4, 8, 9, 10, 11, 12, and 13 of these Terms shall survive termination.

15. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision. These Terms, together with the Privacy Policy, constitute the entire agreement between you and InsureGrades regarding the Service and supersede all prior agreements. You may not assign your rights under these Terms without our prior written consent. InsureGrades may assign its rights freely.
